On behalf of our client, a growing international holding group with interests in financial services, technology, marketing, and other regulated businesses, we are seeking an experienced and commercially minded Corporate Legal Counsel to join their Dubai office

The successful candidate will support the Group's day-to-day commercial activities, corporate governance, regulatory initiatives, and legal risk management across its UAE and international operations. This is an excellent opportunity for a legal professional looking to work on diverse commercial matters within a dynamic and expanding international business.

Key Responsibilities

• Draft, review, and negotiate commercial agreements, service agreements, supplier contracts, consultancy agreements, technology agreements, marketing arrangements, and intercompany documentation.
• Provide legal advice on UAE corporate, commercial, contractual, and general employment law matters.
• Support corporate governance activities, including the preparation of board and shareholder resolutions, powers of attorney, statutory records, and corporate documentation.
• Assist with company incorporations, licensing, corporate restructuring, registrations, renewals, and other legal or regulatory filings within the UAE.
• Support legal and regulatory projects involving financial services, fintech, banking, investment firms, and other regulated businesses across the Group.
• Assist with AML/CFT, sanctions, compliance, data protection, and regulatory documentation, policies, and internal controls.
• Review advertising campaigns, marketing materials, promotional content, and customer communications from a legal and regulatory perspective.
• Coordinate with external legal counsel, corporate service providers, regulators, and other professional advisers.
• Identify legal and commercial risks and provide practical, business-focused legal solutions.

Requirements

• Bachelor's degree in Law and qualification as a lawyer in a recognised jurisdiction.
• Minimum 5 years' post-qualification experience in corporate and commercial law, gained either in private practice or an in-house legal role.
• Strong contract drafting, negotiation, and legal advisory skills.
• Sound knowledge of UAE corporate and commercial law and the UAE business environment.
• Experience within financial services, fintech, banking, payments, investment firms, or other regulated industries is highly desirable.
• Familiarity with the UAE Capital Markets Authority (CMA) regulatory framework (formerly the Securities and Commodities Authority – SCA) will be considered an advantage.
• Exposure to other UAE regulators, including DFSA, CBUAE, VARA, or FSRA, is advantageous.
• Exposure to international regulatory environments, including CySEC (Cyprus), Seychelles FSA, Mauritius FSC, or similar financial services frameworks, will be considered an advantage.
• Practical understanding of AML/CFT, sanctions, and regulatory compliance.
• Excellent written and spoken English with outstanding legal drafting skills.
• Arabic language skills are an advantage but are not essential.
• Candidates must be based in the UAE or willing and eligible to relocate to Dubai.
